Terms of Service

Welcome to TabGen. By accessing or using our audio processing and music separation service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

TabGen.ai provides an online platform for audio processing, including:

• Separation of audio files into individual instrument stems (vocals, drums, bass, other instruments)
• Automatic transcription of bass lines into tablature notation
• Editing and customization tools for generated tablature
• Cloud storage for uploaded audio files and processed output

The Service is provided on a subscription basis with different tiers offering varying features and usage limits.

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You must be at least 13 years old to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password
• Not share your account credentials with others
• Notify us immediately of any unauthorized access or security breach

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4.1 Subscription Plans

We offer multiple subscription tiers (Free, Pro, Premium, Enterprise) with different features and usage limits. Current pricing and features are available on our Pricing page.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• Payment is processed through our payment provider (Stripe)
• You authorize us to charge your payment method for recurring subscription fees
• All fees are non-refundable except as required by law

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the billing period.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes apply to subsequent billing periods after notice is provided.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Upload or process audio files that you do not have the legal right to use
• Violate any copyright, trademark, or intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to reverse engineer, decompile, or extract our algorithms or models
• Use automated tools to scrape, harvest, or collect data from the Service
• Interfere with or disrupt the Service or servers
• Impersonate others or provide false information
• Use the Service for any illegal or unauthorized purpose

6.1 Your Content

You retain all ownership rights to the audio files you upload ("Your Content"). By uploading content, you grant us a limited license to:

• Store, process, and analyze your audio files to provide the Service
• Generate separated stems and transcriptions
• Use aggregated, anonymized data to improve our algorithms

6.2 Our Intellectual Property

The Service, including all software, algorithms, models, designs, and content (excluding Your Content), is owned by TabGen.ai and protected by copyright, trademark, and other intellectual property laws.

6.3 Generated Output

You own the separated stems and transcriptions generated from Your Content. However, you acknowledge that similar output may be generated for other users processing similar audio.

7.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

7.2 Accuracy

While we use advanced machine learning algorithms, we do not guarantee the accuracy or quality of separated stems or transcriptions. Results may vary based on audio quality and complexity.

7.3 Limitation of Liability

To the maximum extent permitted by law, TabGen.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from your use of the Service.

7.4 Maximum Liability

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless TabGen.ai, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or any content you upload

We respect intellectual property rights and expect users to do the same. If you believe your copyrighted work has been used in a way that constitutes infringement, please contact us with:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief that use is not authorized
• A statement that the information is accurate and you are authorized to act

Either party may terminate this agreement at any time:

• By You: Cancel your subscription through your account settings
• By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with notice

Upon termination:

• Your access to the Service will cease
• Your Content will be deleted after 30 days unless you request earlier deletion
• Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination

11.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

12.1 Entire Agreement

These Terms constitute the entire agreement between you and TabGen.ai regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.
